SPONSORSHIP AGREEMENT

This Sponsorship Agreement (“Agreement”) is entered into as of

, by and between:

Reindeer4Hope A nonprofit organization dedicated to spreading joy and hope during the holiday season (“Reindeer4Hope”) and Sponsor

PURPOSE OF AGREEMENT

Reindeer4Hope is a nonprofit organization committed to supporting underprivileged children during the Christmas season by providing essential clothing, shoes, and toys through community partnerships and charitable giving.

Sponsor desires to support Reindeer4Hope’s mission and holiday events through financial sponsorship, and Reindeer4Hope agrees to provide the sponsorship benefits outlined in this Agreement.

EVENT INFORMATION

This sponsorship applies to the following Reindeer4Hope events (collectively, the “Event”):

• Rudolph Dash (5K)

• Rudolph Jingle Sprint (1K)

• Rudolph's Red-Nose Workshop

Event Date: December 5, 2026

Sponsor Setup Time: December 5, 2026 | 5:30AM

SPONSORSHIP LEVEL & BENEFITS

Sponsor agrees to participate at the following sponsorship level (select one below):

Red Nose Sponsor – $1,000

Sponsor will receive the following benefits:

• Assistance provided to six (6) children through Reindeer4Hope programs

• One (1) 10’ x 10’ space at the event to place a tent

  • 10' x 10' tents need to be provided by the sponsor and are not provided by Reindeer4Hope

• Logo on the race t-shirt

• Recognition on the Event website

• Recognition on Reindeer4Hope social media platforms

🛷 Sleigh Ride Sponsor – $500

Sponsor will receive the following benefits:

• Assistance provided to three (3) children through Reindeer4Hope programs

• One (1) 10’ x 10’ space at the event to place a tent

  • 10' x 10' tents need to be provided by the sponsor and are not provided by Reindeer4Hope

• Logo on the race t-shirt

• Recognition on the Event website

• Recognition on Reindeer4Hope social media platforms

PAYMENT TERMS

• Sponsor shall remit payment within thirty (30) days of the Effective Date for payments made by check.

• Payments made via credit card are due upon execution of this Agreement.

USE OF FUNDS

Sponsor acknowledges that all sponsorship funds will be used at Reindeer4Hope’s discretion to support its charitable mission, including but not limited to:

• Children’s clothing and winter essentials

• Shoes and toys

• Event-related and program operational costs

TRADEMARK & BRAND USE

• Each party retains all rights to its respective trademarks, logos, and brand assets.

• Sponsor grants Reindeer4Hope a limited, non-exclusive, royalty-free license to use Sponsor’s name and logo solely for sponsorship recognition in connection with the Event.

• All uses of Sponsor’s name or logo shall comply with Sponsor’s brand guidelines and are subject to Sponsor’s prior approval upon request.

INDEPENDENT CONTRACTOR RELATIONSHIP

The parties acknowledge that they are independent entities. Nothing in this Agreement shall be construed to create a partnership, joint venture, or agency relationship.

CANCELLATION OR

FORCE MAJEURE

If the Event is canceled due to circumstances beyond Reindeer4Hope’s reasonable control, including but not limited to weather, acts of God, or government restrictions, Sponsor agrees that sponsorship funds may be retained and used to further Reindeer4Hope’s mission unless otherwise agreed in writing.

LIMITATION OF LIABILITY

Reindeer4Hope shall not be liable for any indirect, incidental, or consequential damages arising from Sponsor’s participation in the Event.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions or agreements, whether written or oral.

AUTHORITY TO SIGN AGREEMENT

Each individual executing this Agreement on behalf of a party represents and warrants that they are duly authorized to execute this Agreement on behalf of that party and that such execution binds the party to the terms of this Agreement.

ELECTRONIC SIGNATURE AGREEMENT

The parties agree that this Agreement may be executed electronically and that electronic signatures shall be deemed to have the same legal effect as original handwritten signatures. Execution of this Agreement by electronic means constitutes valid and binding acceptance of its terms.
